Referral Rewards Program Terms and Conditions

Nutrafol offers our subscription customers to participate in a Referral Program (the “Program”) whereby they can earn rewards toward future purchases from Nutrafol by referring new customers who make a subscription purchase(s) from Nutrafol. Nutrafol may, from time to time, also offer customers and users of our website the opportunity to receive other rewards from Nutrafol by referring new customers through Referral Offers that run for special or limited-duration (the “Offers”). Any such Offers will be governed by the campaign-specific terms and conditions provided with the applicable campaign materials. Nutrafol may notify customers of available Offers through email, push notifications, SMS, media, its website, customers’ account dashboard on nutrafol.com, or other means.

If you choose to participate in the Referral Program or Offers, you are subject to Nutrafol’s website Terms of Use and Nutrafol’s Privacy Policy (both available on our website), as well as the following additional Referral Program Terms and Conditions (the “Referral Terms”), which may be updated from time to time.

ELIGIBILITY

The Program is open to active subscription customers who are residents of the 50 United States and the District of Columbia, are 18 years of age or older at the time they register for the Program, and maintain an account at nutrafol.com in order to receive the rewards. The Offers are open to individuals who are residents of the 50 United States and the District of Columbia who are 18 years of age or older and have an account at nutrafol.com, unless otherwise provided in the specific Offer terms. For the avoidance of doubt, only natural persons transacting in their personal capacity and for their own account are eligible to participate in the Program and Offers; third-party aggregators, groups, organizations, and business entities are not eligible to participate in the Program or earn or use related rewards or benefits. (Corporations are not people!) The Program and Offers may not be used for lead generation purposes. The use of multiple accounts, email addresses, online identities or aliases to circumvent the eligibility requirements and/or other limitations of these Referral Terms is prohibited and may result in exclusion from the Program or Offers and the cancellation of all related rewards. Employees of Nutrafol, or its parent companies, subsidiaries, affiliates or promotional agencies, and members of their immediate families and households, are not eligible to participate. You may not participate in the Program and Offers where doing so would be prohibited by an applicable law or regulations.

BY PARTICIPATING IN THE REFERRAL PROGRAM OR REFERRAL OFFERS, YOU AGREE YOU HAVE AGE ELIGIBILITY AND LEGAL ELIGIBILITY TO BE BOUND BY THESE REFERRAL TERMS AND CONDITIONS.

THE PROGRAM

To participate in the Program, you (“You” or “Referrer”) may share your personalized referral link or other referral mechanism (e.g., QR Code) (collectively, the “Referral Link”) with friends (“Referred Customers”) to provide them with a promotional code (“Referral Code”) they can redeem at Nutrafol’s online store at www.nutrafol.com for their first product subscription. Your Referral Link is also available at nutrafol.com/refer-a-friend/ or through other designated referral placements. To participate in the Offer, please refer to the specific terms for the Offer in which you want to participate, which will be available at nutrafol.com.

On-screen instructions will outline the specific rewards and any applicable limitations for eligible Referred Customers, as well as the reward you will receive for a Qualified Referral (defined below). The Program and Offers are subject to change. Certain rewards may only be available while supplies last.

To qualify for the referral offer, the Referred Customer must be a new subscriber or must not have purchased a product subscription within the preceding 90 days.

THE REWARD

Subject to compliance with these Referral Terms and Nutrafol’s Terms of Use, when your Referred Customer uses your Referral Link to generate a discount code and makes a qualifying purchase of his or her first product subscription from Nutrafol’s online store, you (“Referrer”) will earn the identified reward described in the Program or Offer details (each, a “Qualified Referral”). A Qualified Referral does not include gift card purchases, or purchases canceled within 48 hours. Nutrafol, in its sole discretion, has the right to determine whether or not you have made a Qualified Referral based on your compliance with these Referral Terms.

For each Qualified Referral, your reward (“Reward Code”) will be issued either as a promotional code delivered via email or automatically applied to your next scheduled subscription renewal, as determined by the applicable Program or Offer rules. Reward Codes are valid for 270 days from issuance. You must make the referral using the email address associated with your Nutrafol.com account to receive the reward. Reward Codes will be issued within two (2) days after the Referred Customer completes a qualifying purchase.

Referred Customers will receive a Referral Code on screen at the time of accessing the Referral Link and will receive an email with their Referral Code once the Referral is confirmed and verified. The Referral Code will expire within ninety (90) days after issuance, unless the Program or Offer terms state otherwise.

Nutrafol is not responsible for Reward Codes or rewards that are not delivered or received. Rewards have no monetary value and may not be redeemed for cash. They are not transferable and may not be copied, auctioned, traded, bartered or sold. Any other use constitutes fraud. Offer cannot be combined with other offers. Void where prohibited by law.

You may not earn more than three (3) Reward codes in any thirty (30) day period. You may earn only one (1) Reward Code per Referred Customer, regardless of the number of purchases that your Referred Customer makes, unless provided otherwise in the campaign-specific terms. To receive multiple Reward Codes, you must introduce multiple Referred Customers who are Qualified Referrals using your active Referral Link. Purchases made by Referred Customers who have previously purchased a Nutrafol subscription (under any name, alias or account credentials), or have had a subscription within the preceding 90 days, are not Qualified Referrals and are not eligible for Reward Codes. Such customers are also not eligible to use Referral Codes. You cannot refer yourself or someone else in your household to earn a Reward Code and purchases by Referred Customers who share your email address or Internet Protocol address, billing address or shipping information are not Qualified Referrals and do not qualify for a Reward Code or for the use of Referral Code. As a Referrer, you are responsible for any and all tax liability resulting from your use of Reward Codes.

LIMITS ON USE OF REFERRAL AND REWARD CODES

Referral Codes shared by Referrers cannot be combined by Referred Customers and a Referral Code can only be used for an individual’s first subscription purchase from Nutrafol’s online store. Referral Codes cannot be combined with other coupon codes but may be compatible with site-wide promotional offers presented by Nutrafol, unless otherwise provided in the other promotional offer’s separate terms and conditions. Referral Codes and Reward Codes can only be redeemed for Nutrafol product orders placed at Nutrafol’s online store, https://www.nutrafol.com. Referral Codes and Reward Codes are promotional in nature and cannot in any circumstances be redeemed or exchanged for gift cards, cash or any cash equivalent.

Reward Codes are not transferable and once issued to an account, they cannot be redeemed through any other account. Referral Codes may be deactivated at any time and are not transferable (except in accordance with these Referral Terms). If your account is closed for any reason, all associated Reward Codes will be canceled immediately.

Reward Codes and Referral Codes are exhausted by the Referred Customer’s first use. Reward Codes and Referral Codes will not be replaced or reinstated if applied in a transaction that is later canceled for any reason or in the event of a return. Reward Codes and Referral Codes have no value outside of this Program.

NO SPAM OR POSTING ON COUPON SITES

You should only share your Referral Link with your personal connections and you may not post or promote your Referral Link on Nutrafol’s social media pages or on coupon sites or other websites created to take advantage of referral traffic generated from individuals searching for coupons or other discount codes, as determined by Nutrafol in its sole discretion.

You must also comply with all laws governing the transmission of email or other electronic communications. For example, emails must be created and distributed in a personal manner and bulk email distribution is prohibited. You agree not to create or use any script, program, bots, automatic dialers, or other automated systems outside of the tools provided through the Program to facilitate the mass distribution of your Referral Link, Referral Code or related communications or to post them simultaneously to multiple websites. Any distribution of your Referral Link or Referral Code beyond your network of friends and personal acquaintances or that could constitute unsolicited commercial email or "spam" under any applicable law or regulation is expressly prohibited.

Nutrafol reserves the right to deactivate any Referral Links or Referral Codes distributed or shared through unauthorized channels and to revoke all related Reward Codes. When sharing your personalized link, you agree that you will always tell your Referred Customers that you will receive a reward from Nutrafol if they make their first purchase using your link.

RIGHT TO CLOSE ACCOUNTS

Nutrafol reserves the right to close your account and deactivate or cancel all related links and Reward Codes and Referral Codes if Nutrafol suspects that you (or any Referred Customer you refer to Nutrafol) has used or attempted to use the Program in a fraudulent, suspicious or abusive manner, in violation of these Terms, Nutrafol’s Terms of Use, applicable law, or in association with content that Nutrafol deems offensive or inappropriate in its sole discretion. Without limiting the foregoing, such content includes all forms of pornography, obscenity, indecent language, and content that incites hate, is demeaning, disparages or tarnishes the goodwill, reputation, or brand image of Nutrafol, or incites or endorses discrimination in any form.

RIGHT TO CANCEL REFERRAL PROGRAM, OFFERS AND CHANGE TERMS

This Referral Program, Offers, and these Terms are subject to modification or termination at any time with or without notice in our sole discretion. If we change these Terms, we will post the updated version on nutrafol.com. If we terminate the referral rewards Program, all unused Referral Codes and Reward Codes will be revoked and forfeited at that time. You may not assign your rights or obligations under these Terms, in whole or in part, without the written consent of Nutrafol. Any assignment or transfer in violation of the foregoing is void.

ANY CHANGES OR MODIFICATIONS TO THESE REFERRAL TERMS WILL BE EFFECTIVE UPON POSTING OF THE REVISIONS. THE UPDATED REFERRAL TERMS WILL REPLACE THE PRIOR VERSION AND ARE APPLICABLE TO ANY FUTURE DISPUTES BETWEEN THE PARTIES, REGARDLESS OF WHEN THE DISPUTED INTERACTIONS AROSE.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, NUTRAFOL WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE PROGRAM, INCLUDING DAMAGES ARISING OUT OF CHANGES TO OR TERMINATION OF THE PROGRAM. THIS IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOSS OF DATA, INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY AND CLAIMS OF THIRD PARTIES. SUBJECT TO THE FOREGOING, WE ARE NOT LIABLE FOR LOST, STOLEN, OR DELETED POINTS, OR FOR ANY FAILURE TO AWARD OR REDEEM POINTS DUE TO TECHNICAL ISSUES, PROVIDED WE USE REASONABLE CARE AND SKILL.
